Terms of Service

This user agreement (the "Agreement") is entered into by and between IEDGE LLP ("we" or "IEDGE"), a limited liability partnership registered in Singapore and the entity agreeing to these terms and conditions ("you" or "Customer"). This Agreement is effective as of the date you click the "Complete Order" button or, if applicable, the date the Agreement is countersigned (the "Effective Date").

If you are accepting on behalf of your employer or another entity, you represent and warrant that: (i) you have the full legal authority to bind your employer, or the applicable entity, to these terms and conditions; (ii) you have read and understand this Agreement; and (iii) you agree, on behalf of the party that you represent, to this Agreement. This Agreement governs Customer's access to and use of the IEDGE's Cloud Email service and related products and services ("Service").

1. Your Account, Content and Security

You are entirely responsible for the actions of all users of your account and any data that is created, stored, displayed by, or transmitted by your account while using the Service. You will not engage in any activity that interferes with or disrupts the Service or networks connected to IEDGE. You agree to notify IEDGE immediately of any unauthorized use of your account or any other breach of security.

2. Spam and Unsolicited Bulk Email

We have a zero tolerance policy on spam or unsolicited bulk email. You agree not to use the Service to send spam or unsolicited bulk email. You further agree to be liable for all damages that arise if you engage in such activities.

We reserve the rights to immediately terminate any account, which we believe, in our sole discretion, is transmitting or is otherwise connected with any spam or other unsolicited bulk email.

3. Email Volume Limits

Inbound and outbound Internet emails may contain a maximum of 1,000 recipients including all addresses in the To, CC, and BCC fields.

Additionally, IEDGE policy limit users to sending and receiving Internet emails to a maximum of 1,000 recipients per 24 hours in order to maintain service reliability for all of our customers.

If a user regularly sends and/or receives more than this number of emails per 24 hours, IEDGE reserves the right to suspend the user or increase the monthly subscription fee as it applies to that user prorate to the amount of recipient in excess to the above limitations. These limitations apply only to Internet messages; internal messages are not limited.

4. Intellectual Property Rights

You acknowledge that content presented to you by the Service is protected by copyrights, trademarks, patents, or other proprietary rights and law. Using the Service does not grant you ownership to any intellectual property rights in the Service or the content you access.

5. Billing and Payment

You will be billed a standard subscription fee for using the Service.

The subscription fee will be billed in advance at the beginning of each billing cycle. For example, if you choose the 12 months billing cycle, you will be billed for the full 12 months of Service at the beginning of the billing cycle. Each billing cycle shall begin from the date you purchase or renew the Service.

Domain name and other add-on that you purchase for use with the Service may be billed separately as they may have different expiration date and billing cycle.

The Service, including any domain name and add-on that you purchased, will be renewed automatically for a new term upon expiration. You will receive an invoice for the renewal via your registered email address with us at least 10 days before the expiration date.

You agree to make prompt payment for the renewal to avoid any disruptions to the Service. If payment for the renewal is not received by the expiration date, the Service will automatically be suspended until we receive the full payment. If payment is still not received within the next 14 days after the expiration date, the Service will be terminated and your account and its content will be deleted. You agree that we shall not be responsible for any losses or damages arising from the suspension or termination.

6. Free Domain Name Offer

A free .com domain name ("Free Domain Name") may be included with the Service as a promotional offer when you sign up. The standard annual registration or renewal fee ("Domain Fees") for the Free Domain Name will be waived for as long as your subscription for the Service remains active. If you request to transfer the Free Domain Name out within the first 6 months of registration or renewal, you agree to pay any applicable Domain Fees to IEDGE. We reserve the rights to discontinue the Free Domain Name offer anytime without notice.

7. Service Availability and Uptime Guarantee

IEDGE is committed to providing you with a quality and reliable Service. To support this commitment, we offer a financially backed uptime guarantee on the Service.

We guarantee that the Service will be available 99.9% of the time in any given month, excluding the following:

If we fail to meet the guaranteed state as above, you may request a pro-rated credit for the downtime. The request has to be submitted via email within the first 7 days of the new month following the month that the uptime guarantee was not met. The pro-rated credit is strictly non-refundable and may only be used to offset subsequent invoice.

For example, if the uptime of the Service is 97% in February (2.9% downtime), you may request for a pro-rated credit within the first 7 days of March. We will credit your account with 2.9% of your monthly equivalent subscription fee for the affected Service.

You agree that this shall be IEDGE's sole and exclusive liability to you for the Service downtime.

8. Support Boundaries

Technical support is provided to you via email. You acknowledge that we do not offer technical support for any 3rd party software, plugins or add-ons that you install on your computer. You have to contact the respective vendors for such support.

9. Refund Policy

We provide a 14-day money back guarantee on the Service for all new customer sign-ups. You may request for the refund within 14 days from your initial purchase date. Domain name registration fees are not applicable for refund.

We reserve the rights to withhold any refund if we are investigating suspected misconduct on your account.

All refund are provided at the sole discretion of IEDGE. There shall be strictly no refund after the 14-day money back guarantee period.

10. Account Suspension, Cancellation and Termination

We reserve the rights to suspend, terminate or stop providing the Service to you, with or without notice, if you violate the terms and conditions of this Agreement or if we are investigating suspected misconduct.

You may cancel the Service at anytime by submitting a cancellation request via your Client Portal account or by sending us an email. We may require additional proof of account ownership to process your cancellation request. You acknowledge that no refunds will be provided to you for any unused portion of the Service.

11. Modifications

We reserve the rights to modify the terms and conditions in this Agreement and notify you by posting an updated version of the Agreement on our web site. You are responsible for regularly reviewing the terms and conditions. Continued use of the Service after any such changes shall constitute your acceptance to such changes.

12. Warranty Disclaimer

While we use a reasonable level of skill and care to provide the Service to you, there are certain things that we do not promise about the Service. Other than those that are expressly set out in this agreement, IEDGE does not make any commitments about the content within the Service, the specific functions of the Service, or their reliability, availability, or ability to meet your needs.

The Service is provided on an "as is" basis, without warranty. All warranties, whether express or implied, are disclaimed and excluded, including but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. You agree that your use of the Service shall be at your sole risk.

13. Limitation of Liability

You acknowledge that the Service provided is of such a nature that service may be interrupted for many reasons other than the negligence of IEDGE and that damages or losses resulting from any interruption of the Service are difficult to ascertain. Therefore, you agree that IEDGE shall not be liable for any damages or losses arising from such causes beyond the direct and exclusive control of IEDGE. You further acknowledge that IEDGE's liability for its own negligence may not in any event exceed an amount equivalent to charges payable by you for the Service during the period that damages or losses occurred.

In no event shall IEDGE be liable for any special or consequential damages, loss or injury. IEDGE is not responsible for any damages or losses that you may suffer. IEDGE does not make implied or written warranties for the Service. IEDGE denies any warranty or merchantability for a specific purpose. This includes loss of data resulting from delays, non-deliveries, wrong delivery, and any and all service interruptions caused by IEDGE.

14. Indemnity

You shall defend, indemnify, and hold IEDGE harmless from and against all liabilities, judgments, claims, damages, settlements, expenses and costs (including reasonable attorney's fees and litigation expenses) arising out of any breach of this Agreement by you.

15. Governing Law

This Agreement shall be governed by and shall be construed, interpreted and enforced in accordance with the laws of the Republic of Singapore, without reference to principles of conflicts of law. You agree that the sole and exclusive venue for any and all disputes arising to your use of the Service shall be in any trial court located in Singapore. You hereby irrevocably consent to the jurisdiction of the appropriate court in Singapore.
